PART 1: TERMS OF SERVICE

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you and SWEPETY LTD ("we," "us," or "our"). These Terms govern your access to and use of our website, digital marketing services, lead generation automation, and real estate website solutions (collectively, the "Services").

By accessing, registering for, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must strictly prohibit your use of the Services.

Target Audience & Jurisdiction: Our Services are specifically designed for and directed towards Real Estate Agents, Brokers, and Teams operating within North America (United States & Canada). While we are a UK-registered entity, our operational focus is on the North American real estate market. If you access our Services from outside these regions, you do so on your own initiative and are responsible for compliance with local laws.

2. Use of Services

You agree to use our Services solely for lawful business purposes related to real estate marketing, client relationship management, and transaction facilitation. You represent and warrant that all information you provide is accurate and current.

• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

• Prohibited Acts: You agree not to:

  • Misuse our "AI Features" (provided by OpenAI, Retell AI, etc.) to generate content that is illegal, defamatory, discriminatory, or violates Fair Housing laws.

  • Use our lead generation tools to harvest data or "scrape" listings in violation of third-party terms.

  • Impersonate another broker or misrepresent your affiliation with a brokerage or MLS.

3. AI & Automation Tools

Our Services integrate advanced artificial intelligence and automation tools, including Retell AI (voice), Promptmetheus (prompt engineering), n8n (workflow automation), and OpenAI (generative text).

• No Guarantee of Accuracy (Hallucinations): AI models may occasionally generate incorrect information ("hallucinations"). You acknowledge that you are the final editor and publisher of all content. You are responsible for reviewing all AI-generated property descriptions, blog posts, and client communications for accuracy before publication.

• Voice/Call Recording Compliance: If you utilize our voice AI features (Retell AI) for automated calling or virtual receptionists:

  • You assume full liability for complying with all applicable telemarketing and wiretapping laws, including the Telephone Consumer Protection Act (TCPA) in the US and similar regulations in Canada.

  • You are responsible for ensuring that necessary consents (e.g., "This call may be recorded") are obtained from call recipients in "Two-Party Consent" jurisdictions.

4. Real Estate Data (IDX/VOW)

If you utilize our Buying Buddy integration or similar Internet Data Exchange (IDX) solutions to display property listings:

• License Validation: You confirm you are a licensed real estate professional in good standing within your respective jurisdiction.

• MLS Compliance: You agree to abide by the specific display rules, compliance policies, and data use restrictions of your local Multiple Listing Service (MLS) or Real Estate Board. You act as the "Participant" for MLS data access; we act solely as the technology provider.

• Data Accuracy: We are not responsible for the accuracy, timeliness, or availability of MLS data feeds provided via Buying Buddy or other third-party vendors.

5. Limitation of Liability

To the maximum extent permitted by applicable law, SWEPETY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to:

• Loss of profits, commissions, or sales;

• Loss of data, leads, or goodwill;

• Service interruptions caused by third-party tools (e.g., Framer outages, Zillow API changes, DocuSign errors).

Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.

PART 2: PRIVACY POLICY

1. Information We Collect

We collect information to provide and improve our real estate marketing and automation services.

• Account Data (You): Information related to your subscription, including your name, email, phone number, brokerage affiliation, real estate license ID, and billing details.

• Lead Data (Your Clients): Personal information about your clients (homebuyers/sellers) that you input into our system or that is captured via our lead generation forms (e.g., name, budget, property preferences). We process this data strictly on your behalf as a Data Processor.

• Usage Data: Technical information such as your IP address, browser type, device information, and interactions with our ads or dashboard.

2. How We Use Your Data

We use the collected data for the following specific purposes:

• Service Delivery: To host and render your real estate website (via Framer), process incoming leads, and execute automated workflows (via n8n).

• AI Processing: To generate marketing copy, property descriptions, or automated voice responses using OpenAI and Retell AI based on the parameters you set.

• Marketing & Analytics: To manage and optimize advertising campaigns on your behalf via Meta (Facebook/Instagram) and Google Ads, and to analyze campaign performance.

• Compliance: To ensure valid license status for IDX feeds and prevent fraudulent use of our platform.

3. Third-Party Data Processors (Our Tech Stack)

We utilize a suite of trusted third-party providers to operate our business. By using our Services, you acknowledge and consent to data processing by the following vendors:

A. Core Infrastructure & Hosting

• Framer: Our primary website builder and hosting platform. Your site content resides on their secure servers.

• n8n: Our workflow automation engine used to sync your leads between platforms (e.g., sending a Facebook lead to your CRM).

B. Real Estate & IDX

• Buying Buddy: Provides the IDX widgets and MLS connectivity. They process search queries to return property results.

• Zillow / Realtor.com: If you choose to connect these accounts, we process lead data ingested from these portals to centralize your lead management.

C. Artificial Intelligence (AI)

• OpenAI / Promptmetheus: Used for text generation, chatbots, and email drafting. Data sent here is used to generate responses and is not used to train their models unless explicitly stated otherwise.

• Retell AI: Powers our voice agents and automated calling features. Voice data is processed to convert speech to text and generate audio responses.

D. Digital Marketing & Ads

• Meta Ads Manager (Facebook/Instagram): Used for retargeting audiences and running "Lead Form" ads.

• Google Ads & Analytics: Used for search engine marketing (SEM) and tracking website visitor behavior (GA4).

4. International Data Transfers (UK / USA / Canada)

• Data Controller: SWEPETY LTD serves as the Data Controller for your account information.

• Cross-Border Transfer: We are a company based in the United Kingdom. However, the majority of our technology stack (Framer, OpenAI, Google) utilizes servers located in the United States.

• Safeguards: We ensure your data is protected during international transfers by complying with the UK GDPR. We rely on adequacy decisions and Standard Contractual Clauses (SCCs) to legitimize data flows between the UK, EEA, and North America.

5. Your Rights (GDPR / CCPA / PIPEDA)

Depending on your location, you have specific rights regarding your personal data:

• Europe/UK (GDPR): You have the right to access, rectify, or erase your personal data ("Right to be Forgotten"). You also have the right to restrict processing and data portability.

• California (CCPA/CPRA): You have the right to know what categories of personal information we collect and the specific "Right to Delete" your information. We do not sell your personal data to third parties for monetary value.

• Canada (PIPEDA): You have the right to access your personal information held by us and to challenge its accuracy and completeness.
